These Terms & Conditions (“Terms”) govern your use of FocusLedger, a web-based time planning application available at focusledger.app, operated by Mohit Gangrade, an individual based in India (“I”, “me”, “we”). By creating an account or using FocusLedger, you agree to these Terms. If you do not agree, do not use the service.

1. The Service

FocusLedger is a time planning and deep work management application. We provide the service on an “as is” and “as available” basis. We do not guarantee uninterrupted availability, specific uptime, or freedom from errors. We make no SLA commitments and offer no uptime guarantee.

2. Eligibility

You must be at least 18 years old to use FocusLedger. By using the service, you confirm that you are 18 or older. We reserve the right to terminate accounts that are found to belong to minors.

3. Your Account

• You are responsible for maintaining the confidentiality of your login credentials.
• You are responsible for all activity that occurs under your account.
• Your subscription is personal and non-transferable. Account sharing is not permitted.
• You must provide accurate information when creating your account.
• Notify us immediately at mohit@focusledger.app if you suspect unauthorised access to your account.

4. Acceptable Use

FocusLedger is available to anyone for personal productivity and time management purposes. You agree not to:

• Use the service for any unlawful purpose or in violation of any applicable laws.
• Attempt to gain unauthorised access to any part of the service or its infrastructure.
• Introduce malware, viruses, or any harmful code into the service.
• Scrape, reverse-engineer, or attempt to extract the source code of FocusLedger.
• Resell, sublicense, or commercially redistribute the service without our written permission.

We reserve the right to terminate or suspend any account that violates these terms without notice or refund.

5. Subscription and Billing

5.1 Plans and Pricing

FocusLedger is available on a subscription basis. Current pricing is $9/month (billed monthly) or $90/year (billed annually). Early-bird pricing is available to the first 100 subscribers and is locked in for as long as the subscription remains active and uninterrupted.

5.2 Free Trial

We offer a 14-day free trial with full access to all features. No credit card is required to start a trial. At the end of the trial, you will be prompted to choose a paid plan to continue using FocusLedger. There is no grace period after the trial ends.

5.3 Merchant of Record

All payments are processed by Creem, our Merchant of Record. Creem handles billing, payment processing, and tax compliance. By subscribing, you also agree to Creem’s terms of service and privacy policy.

5.4 Cancellation

You may cancel your subscription at any time from your account settings. Upon cancellation, your access will continue until the end of the current billing period. We do not provide prorated refunds for partial billing periods, except as described in our refund policy below.

5.5 Refund Policy

We offer a 30-day money-back guarantee from the date of your first paid charge. If you are unsatisfied with FocusLedger within the first 30 days of your paid subscription, contact us at mohit@focusledger.app and we will issue a full refund. After 30 days, all charges are final and non-refundable.

6. AI Features

FocusLedger includes AI-powered features including automatic task categorisation and subtask generation. These features are provided as a convenience and are inherently imperfect. We make no warranties regarding the accuracy, completeness, or reliability of any AI-generated output. You are solely responsible for reviewing and acting on any AI-generated content. We accept no liability for decisions made based on AI output.

7. Your Data

You retain full ownership of all content and data you create in FocusLedger. By using the service, you grant us a limited, non-exclusive licence to store and process your data solely to provide the service to you. We do not claim ownership of your data and will not use it for any purpose other than operating FocusLedger. Please refer to our Privacy Policy for full details on how we handle your data.

8. Service Availability and Changes

We reserve the right to modify, suspend, or discontinue any part of FocusLedger at any time. We will make reasonable efforts to provide advance notice of significant changes. We are not liable to you or any third party for any modification, suspension, or discontinuation of the service.

9. Intellectual Property

FocusLedger and all related content, features, design, code, and trademarks are the intellectual property of Mohit Gangrade. You may not copy, modify, distribute, or create derivative works based on FocusLedger without our express written permission.

10. Disclaimer of Warranties

FocusLedger is provided “as is” without warranties of any kind, express or implied. We do not warrant that the service will be uninterrupted, error-free, secure, or free of viruses or other harmful components. We disclaim all implied warranties including merchantability, fitness for a particular purpose, and non-infringement to the fullest extent permitted by applicable law.

11. Limitation of Liability

To the maximum extent permitted by applicable law, Mohit Gangrade shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use FocusLedger, including but not limited to loss of data, loss of profits, or business interruption. Our total liability to you for any claim arising under these Terms shall not exceed the amount you paid us in the 3 months preceding the claim.

12. Termination

We may suspend or terminate your account at any time if you violate these Terms, engage in fraudulent activity, or for any other reason at our sole discretion. Upon termination, your right to access FocusLedger ceases immediately. We will not be liable to you for any termination of your account. You may also terminate your account at any time by contacting us at mohit@focusledger.app.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of India. Any disputes arising from these Terms or your use of FocusLedger shall be resolved through binding arbitration in accordance with the Arbitration and Conciliation Act, 1996 of India. The seat of arbitration shall be Jaipur, Rajasthan, India. The language of arbitration shall be English. Notwithstanding the foregoing, either party may seek interim or injunctive relief from a competent court.

14. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will notify you by email at least 14 days before the changes take effect. Your continued use of FocusLedger after changes take effect constitutes your acceptance of the updated Terms.
